Terms of Service

These terms explain the relationship between BotPager and the local service businesses we serve.

BotPager Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, software, artificial intelligence tools, marketing services, automation systems, websites, CRM solutions, integrations, and other products and services provided by BotPager, operated by Uno Zero Marketing LLC (“BotPager,” “we,” “us,” or “our”).

By purchasing, subscribing to, accessing, or using any BotPager service, you (“Client,” “you,” or “your”) agree to these Terms.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. Our Services

BotPager provides digital marketing, website, automation, artificial intelligence, lead generation, and business growth solutions primarily designed for local service businesses.

Depending on the plan, proposal, or agreement selected by the Client, services may include:

  • Smart Website design, development, hosting, and maintenance;
  • AI-powered website assistants or conversational agents;
  • lead capture and qualification systems;
  • CRM configuration and management;
  • appointment booking and scheduling systems;
  • automated email, SMS, messaging, quotation, and follow-up workflows;
  • integrations with third-party platforms;
  • digital advertising campaign setup and/or management;
  • Google Business Profile optimization;
  • local search engine optimization (“Local SEO”);
  • analytics and reporting dashboards;
  • conversion tracking;
  • marketing strategy and consulting; and
  • other digital services described in the applicable plan, proposal, order form, or statement of work.

Specific deliverables, implementation timelines, usage limits, advertising budgets, integrations, and included services may vary by plan and will be described in the applicable offer, proposal, invoice, checkout page, or written agreement.

BotPager may modify or improve the functionality of its platform and services over time.

2. No Guarantee of Business Results

BotPager provides technology, marketing systems, automation, and professional services intended to help businesses generate, capture, manage, and convert opportunities.

However, BotPager does not guarantee any specific number of leads, appointments, sales, revenue, rankings, advertising results, return on investment, or other commercial outcome.

Results may depend on factors outside BotPager’s control, including:

  • the Client’s industry and market;
  • location and competition;
  • pricing and offers;
  • reputation and reviews;
  • advertising budget;
  • sales performance;
  • response times;
  • seasonality;
  • economic conditions;
  • search engine algorithms;
  • advertising platform policies;
  • accuracy of Client-provided information; and
  • customer demand.

Examples, case studies, projections, simulations, demonstrations, or performance figures presented by BotPager are illustrative and do not constitute guarantees of future results.

3. Artificial Intelligence

Some BotPager services use artificial intelligence and automated decision-support technologies.

AI systems may generate responses, recommendations, summaries, estimates, lead classifications, appointment information, quotations, or other content based on information supplied by the Client and/or its customers.

The Client acknowledges that artificial intelligence is probabilistic and may occasionally produce inaccurate, incomplete, outdated, or inappropriate information.

BotPager does not warrant that AI-generated content will always be accurate or error-free.

Client responsibility

The Client is responsible for reviewing and approving the information, business rules, services, pricing, policies, FAQs, qualification criteria, and other materials used to configure its AI systems.

The Client must promptly notify BotPager when business information changes.

High-risk uses

Unless expressly agreed in writing, BotPager AI systems are not intended to provide professional medical, legal, financial, emergency, or other regulated professional advice.

The Client may not represent an AI-generated response as professional advice where applicable law requires review or delivery by a licensed professional.

4. AI Agent and Customer Communications

Where BotPager provides an AI-powered assistant, chatbot, voice agent, messaging agent, or similar technology, the system may interact directly with the Client’s customers or prospects.

The Client authorizes BotPager and its technology providers to process the information necessary to provide these interactions.

The Client remains responsible for:

  • the products and services it offers;
  • pricing and availability;
  • fulfillment of appointments and orders;
  • statements and representations about its business;
  • legally required disclosures;
  • obtaining required customer permissions or consents; and
  • complying with applicable industry regulations.

BotPager may implement safeguards and instructions designed to reduce incorrect responses but cannot guarantee that an automated system will respond correctly in every circumstance.

5. Client Responsibilities

The Client agrees to provide accurate and timely information reasonably required to deliver the services.

This may include:

  • company information;
  • branding assets;
  • logos and photographs;
  • service descriptions;
  • prices;
  • offers;
  • FAQs;
  • contact information;
  • calendars and availability;
  • advertising accounts;
  • domain or DNS access;
  • CRM information;
  • Google Business Profile access;
  • analytics access; and
  • credentials or authorization for third-party integrations.

Delays caused by missing information, approvals, credentials, or feedback from the Client may extend delivery timelines.

The Client represents that it has the necessary rights and permissions to provide any content, customer information, trademarks, photographs, databases, credentials, or other materials supplied to BotPager.

6. Websites and Smart Websites

Where BotPager designs or operates a Smart Website for the Client, the specific scope of the website will depend on the purchased plan or proposal.

Unless otherwise agreed in writing, additional pages, custom development, advanced integrations, major redesigns, custom applications, e-commerce functionality, or functionality outside the original scope may require additional fees.

BotPager may use third-party hosting, infrastructure, analytics, CRM, AI, communications, and software providers to operate the website and related systems.

7. Third-Party Services and Integrations

BotPager services may integrate with or depend upon third-party services such as advertising platforms, search engines, hosting providers, CRM platforms, email providers, SMS providers, messaging services, payment processors, analytics platforms, scheduling systems, AI providers, and other software services.

These third-party providers operate independently from BotPager and may change their:

  • pricing;
  • APIs;
  • functionality;
  • policies;
  • availability;
  • approval requirements;
  • usage restrictions; or
  • terms of service.

BotPager is not responsible for interruptions, restrictions, suspensions, data loss, policy changes, or other problems caused by third-party platforms.

If a third-party provider changes or discontinues functionality required by a BotPager service, BotPager may modify, replace, or discontinue the affected integration.

Third-party fees are not included unless specifically stated in the Client’s plan or agreement.

8. Advertising Services

If the Client purchases advertising management services, BotPager may create, configure, optimize, or manage campaigns on third-party advertising platforms.

Unless expressly stated otherwise, advertising spend is separate from BotPager’s service fees and is paid by the Client directly to the advertising platform or through another agreed billing arrangement.

The Client authorizes BotPager to make reasonable campaign management decisions within the agreed strategy and budget.

Advertising platforms retain final control over ad approval, delivery, account restrictions, auctions, attribution, and advertising costs.

BotPager cannot guarantee:

  • advertising approval;
  • cost per click;
  • cost per lead;
  • number of leads;
  • conversion rate;
  • cost per acquisition;
  • advertising placement; or
  • return on advertising spend.

9. Google Business Profile and Local SEO

Certain BotPager plans may include Google Business Profile optimization and/or Local SEO services.

Search engine rankings and map visibility are controlled by third-party algorithms and may change without notice.

BotPager does not guarantee that a Client will achieve or maintain any particular search ranking, map position, Local Pack position, traffic volume, or number of calls or leads.

The Client agrees not to request or encourage BotPager to create fake reviews, misleading business information, artificial engagement, or other practices that violate applicable platform policies.

10. CRM, Email, SMS and Messaging

BotPager may provide CRM functionality and automated communications through email, SMS, WhatsApp, web chat, or other channels.

The Client is responsible for ensuring that its use of these communications complies with applicable laws, regulations, and platform policies, including consent, opt-out, privacy, and marketing communication requirements.

Where applicable, Clients must maintain appropriate records of consent before sending marketing communications.

BotPager may suspend automated communications that appear to violate applicable law, carrier requirements, messaging provider rules, anti-spam requirements, or third-party platform policies.

Carrier charges, messaging charges, email usage fees, telephone numbers, WhatsApp charges, or other communication costs may be billed separately where applicable.

11. Fees and Payment

Fees are based on the plan, proposal, subscription, order form, or other agreement accepted by the Client.

Services may include:

  • one-time setup or implementation fees;
  • recurring monthly fees;
  • usage-based charges;
  • advertising management fees;
  • third-party software charges; and/or
  • additional professional service fees.

Unless otherwise stated, all fees are quoted in U.S. dollars.

The Client authorizes BotPager or its payment provider to charge the payment method provided for recurring subscriptions and applicable usage charges.

12. Setup and Implementation Fees

Setup, onboarding, configuration, strategy, design, development, integration, training, and implementation fees compensate BotPager for work performed to build and configure the Client’s system.

Unless otherwise required by law or expressly agreed in writing, setup and implementation fees become non-refundable once implementation work has begun.

13. Subscriptions and Recurring Billing

Recurring plans automatically renew according to the billing cycle selected by the Client unless canceled in accordance with these Terms.

By purchasing a recurring plan, the Client authorizes BotPager to charge the applicable subscription fee to the payment method on file at each renewal.

BotPager may change subscription pricing by providing reasonable advance notice. New pricing will apply to a subsequent billing period after the notice period.

14. Cancellation

The Client may cancel a recurring subscription by contacting BotPager through the cancellation method provided on the website, account dashboard, or by emailing info@botpager.com.

Unless otherwise stated in a separate agreement, cancellation prevents future renewal charges but does not retroactively refund charges already incurred.

Services will generally remain available until the end of the paid billing period unless the account is terminated for violation of these Terms.

Certain third-party services or prepaid expenses may be non-refundable.

15. Refunds

Except where required by law or expressly stated in a written guarantee or offer, payments for completed work, implementation, advertising management, subscriptions already provided, third-party expenses, domain registrations, software licenses, messaging usage, advertising spend, and other consumed services are non-refundable.

If BotPager provides a specific money-back guarantee or refund policy as part of an offer, the terms of that specific guarantee will control for that purchase.

16. Late or Failed Payments

If a payment fails or becomes overdue, BotPager may:

  • retry the payment method;
  • notify the Client;
  • temporarily suspend services;
  • disable automations or integrations;
  • suspend hosting or platform access; or
  • terminate the account if payment remains outstanding.

The Client remains responsible for amounts incurred before suspension or termination.

17. Client Content

The Client retains ownership of trademarks, logos, photographs, copy, videos, databases, and other original materials supplied by the Client (“Client Content”).

The Client grants BotPager a limited, non-exclusive license to use, reproduce, modify, host, transmit, and display Client Content solely as reasonably necessary to provide the services.

The Client represents that its Client Content does not infringe the intellectual property, privacy, publicity, or other rights of third parties.

18. BotPager Technology and Intellectual Property

BotPager retains all rights in its underlying technology, systems, software, workflows, automation architecture, prompts, AI configurations, templates, frameworks, methodologies, libraries, reusable components, documentation, processes, know-how, and other pre-existing or reusable intellectual property.

Purchasing BotPager services does not transfer ownership of BotPager’s underlying platform, software, automation technology, AI architecture, or proprietary systems.

Unless otherwise agreed in writing, the Client receives a limited right to use the BotPager system while maintaining an active subscription.

19. Custom Website Content

Ownership of custom website assets specifically created for a Client may be defined in the applicable proposal or service agreement.

Unless otherwise agreed, the Client retains ownership of its own brand assets and original content, while BotPager retains ownership of reusable code, components, frameworks, templates, systems, integrations, automations, and proprietary technology used to deliver the website.

Third-party assets remain subject to their respective licenses.

20. Portfolio and Case Studies

Unless the Client requests otherwise in writing, BotPager may identify the Client as a customer and display publicly available portions of completed work, including the Client’s name, logo, website, screenshots, and general description of services, for portfolio and marketing purposes.

BotPager will not intentionally disclose confidential business information through a case study without authorization.

21. Confidentiality

Each party may receive confidential or proprietary information from the other.

Both parties agree to use reasonable measures to protect confidential information and to use it only for purposes related to the services.

Confidential information does not include information that:

  • is publicly available without breach of these Terms;
  • was lawfully known before disclosure;
  • is independently developed without use of confidential information; or
  • is lawfully obtained from another source.

22. Data and Privacy

BotPager may process business, contact, analytics, lead, customer, and usage information as necessary to provide its services.

BotPager’s collection and use of personal information is also governed by its Privacy Policy.

Where BotPager processes personal information on behalf of a Client, the Client remains responsible for determining whether it has a lawful basis and appropriate notices or permissions to collect and process that information.

The Client should not submit highly sensitive information to BotPager systems unless the applicable service has expressly been approved and configured for such information.

23. Account Security

Clients are responsible for protecting their account credentials and limiting access to authorized personnel.

The Client must promptly notify BotPager if it believes an account, API key, password, integration, or credential has been compromised.

BotPager is not responsible for losses resulting from unauthorized access caused by the Client’s failure to reasonably secure its credentials or systems.

24. Acceptable Use

Clients may not use BotPager services to:

  • violate applicable law;
  • commit fraud or impersonate another person or business;
  • distribute malware or malicious software;
  • send unlawful spam;
  • unlawfully collect personal information;
  • infringe intellectual property rights;
  • deceive or manipulate customers;
  • generate or distribute illegal content;
  • interfere with BotPager systems;
  • attempt unauthorized access to systems or accounts;
  • circumvent security or usage restrictions; or
  • use BotPager services in a manner that creates material risk to BotPager, its infrastructure, its technology partners, or other customers.

BotPager may suspend or terminate services when it reasonably believes these restrictions have been violated.

25. Service Availability

BotPager will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • internet outages;
  • cloud infrastructure failures;
  • third-party API failures;
  • telecommunications failures;
  • cybersecurity incidents;
  • force majeure events; or
  • circumstances outside BotPager’s reasonable control.

26. Changes to Services

BotPager may update, modify, replace, or discontinue features where reasonably necessary to improve its services, maintain security, comply with law, respond to third-party changes, or evolve its technology.

Where a change materially reduces the core functionality of a paid service, BotPager will make commercially reasonable efforts to provide notice or an alternative solution.

27. Suspension and Termination

BotPager may suspend or terminate access to services if the Client:

  • fails to pay amounts due;
  • materially violates these Terms;
  • uses the services unlawfully;
  • creates a security risk;
  • abuses third-party platforms;
  • engages in fraudulent activity; or
  • creates material legal, reputational, or operational risk for BotPager.

Where reasonably possible, BotPager will provide notice and an opportunity to remedy the violation before termination.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTPAGER SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BOTPAGER DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

BOTPAGER DOES NOT WARRANT THAT AI OUTPUTS, MARKETING RESULTS, SEARCH ENGINE RANKINGS, LEADS, CUSTOMER DATA, THIRD-PARTY INTEGRATIONS, OR AUTOMATED COMMUNICATIONS WILL ALWAYS BE ACCURATE, AVAILABLE, OR SUCCESSFUL.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOTPAGER AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR ANTICIPATED SAVINGS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTPAGER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE CLIENT TO BOTPAGER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations of liability, in which case those limitations will apply only to the maximum extent permitted by law.

30. Indemnification

The Client agrees to indemnify and hold harmless BotPager and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • the Client’s products or services;
  • Client Content;
  • false or misleading information supplied by the Client;
  • violation of applicable law by the Client;
  • unauthorized marketing communications;
  • infringement of third-party rights by Client Content;
  • misuse of BotPager services; or
  • the Client’s breach of these Terms.

31. Force Majeure

Neither party will be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, government actions, war, civil disturbances, internet or telecommunications failures, labor disputes, widespread cybersecurity incidents, utility failures, or failures of major third-party infrastructure providers.

32. Independent Contractor

BotPager acts as an independent contractor.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship between BotPager and the Client unless expressly agreed in writing.

33. Governing Law

These Terms will be governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

34. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make reasonable good-faith efforts to resolve any dispute informally.

A party initiating a dispute must provide written notice describing the issue and requested resolution.

If the dispute cannot be resolved within thirty (30) days after written notice, either party may pursue the remedies available under applicable law.

35. Changes to These Terms

BotPager may update these Terms periodically to reflect changes in its services, technology, business practices, or legal obligations.

The updated Terms will be posted on BotPager’s website with a revised “Last Updated” date.

For material changes affecting existing paid subscriptions, BotPager may provide additional notice where appropriate.

Continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

36. Entire Agreement

These Terms, together with the applicable proposal, order form, service agreement, Privacy Policy, and any other terms expressly incorporated by reference, constitute the agreement between BotPager and the Client concerning the applicable services.

If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will control with respect to that conflict.

37. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

38. No Waiver

Failure by BotPager to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.

39. Assignment

The Client may not assign or transfer its rights or obligations under these Terms without BotPager’s prior written consent.

BotPager may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or transfer of its business or applicable service.

41. Electronic Acceptance

By creating an account, purchasing a service, submitting an order, clicking an acceptance button, signing an electronic agreement, or otherwise using BotPager’s paid services after being presented with these Terms, the Client acknowledges that it has read, understood, and agreed to be bound by these Terms.
